MIUSIC TERMS AND CONDITIONS

Welcome to Miusic, a global digital marketplace where composers, creators, and producers can publish, sell, and license original compositions. By using Miusic, you agree to these Terms and Conditions. If you do not agree, you must not use the platform.

1. DEFINITIONS
• “Miusic” / “The Platform”: Digital marketplace for buying and selling compositions.
• “Composition” / “Work”: Lyrics, melody, topline, reference demo, or musical concept created by a seller user.
• “Seller” / “Creator”: User who publishes and sells their compositions on Miusic.
• “Buyer”: User who acquires a license to use a composition.
• “License”: Permission granted to the buyer according to the selected license type (Personal Use, Commercial, Exclusive Buyout, or others customized by the seller).
• “AI Demo”: Vocal performance generated using artificial intelligence, used solely as an auditory reference. It does not constitute a master recording nor a licensed voice.
• “Prohibited Content”: Illegal material, non-original material, content that infringes third-party rights, or violates these Terms.

2. NATURE OF MIUSIC
Miusic:
• IS NOT a record label.
• IS NOT a music publisher.
• IS NOT a manager, representative, or attorney for sellers or buyers.
• DOES NOT act as a legal intermediary in external agreements.
Miusic operates exclusively as a technology platform / marketplace, facilitating:
• Publication of compositions.
• Selection and purchase of licenses.
• Delivery of digital files (lyrics, melodies, stems, reference demos).
• Payment processing through external providers.
Each user is solely responsible for:
• The content they upload.
• The use they make of purchased content.
• The legal consequences of their actions within and outside the platform.

3. AI-GENERATED CONTENT (REFERENCE DEMOS)
To maintain consistency and protect the identity of creators, Miusic may use AI tools to generate vocal performance demos as artistic references for compositions created, structured, and written by humans.
3.1 What IS permitted
• Sellers may use AI demos as a reference to present their compositions.
• Buyers may listen to AI demos to evaluate the work before purchasing.
• Buyers may use the lyrics and melody of the purchased composition according to the applicable license.
3.2 What is NOT permitted (without exception)
The AI demo:
• MAY NOT be published or distributed on any platform (Spotify, YouTube, Apple Music, TikTok, etc.).
• MAY NOT be used as the final voice of a song.
• MAY NOT be monetized or used in campaigns, advertisements, or releases.
• MAY NOT be modified to simulate another voice or identity.
• MAY NOT be resold, sublicensed, sampled, or reused in another work.
The AI demo is NOT a master recording, is NOT a licensed human performance, and does not transfer phonographic rights.
The buyer receives only the composition (lyrics + melody) and the authorized files, never rights to exploit the AI voice.

4. OFFICIAL MIUSIC LICENSES
Miusic offers standard licenses, which may be updated over time. As of the date of this latest update, the primary licenses are:
4.1 Personal Use License
• Non-commercial and non-monetizable use.
• Uploading the work to streaming platforms for commercial purposes is prohibited.
• Allowed for practice, demos, educational use, or personal non-profit projects.
4.2 Commercial / Professional Use License
• Allows commercial use of the composition.
• The buyer may record their own voice, produce the song, and distribute it on platforms.
• In digital products directed or published through Miusic, the composition author retains a mandatory 30% publishing share.
• The buyer agrees to properly respect and register the author’s participation in publishing and song credits.
• Does not transfer any rights to the AI demo.
4.3 Exclusive Buyout License
• Full transfer of rights to the composition (lyrics + melody) to the buyer, except those rights that the law requires to remain as moral rights.
• The seller waives future claims over royalties or publishing derived from that work, unless additional external agreements exist between the parties.
• Includes delivery of all agreed materials (lyrics, melody, stems, required files).
• Does NOT include any rights to the AI demo.

5. CUSTOM LICENSES CREATED BY SELLERS
In addition to Miusic’s official licenses, each seller may:
• Use Miusic’s default licenses; and/or
• Create their own custom licenses with their own rules, conditions, restrictions, and percentages.
In such cases:
• The seller is fully and solely responsible for the clarity, legality, and enforceability of their custom license.
• The buyer is responsible for reading the license description before purchasing.
• Miusic is not responsible for misunderstandings, omissions, conflicts, or damages arising from licenses created by sellers.
Miusic reserves the right to reject, modify, or remove custom licenses considered confusing, abusive, or illegal.

6. SELLER RESPONSIBILITY
The seller declares and guarantees that:
1. They are the legitimate author of the composition or possess sufficient rights to license it.
2. The work does not contain fragments, melodies, lyrics, or samples protected by third parties without authorization.
3. It does not violate copyrights, trademarks, image rights, voice rights, privacy rights, or other third-party rights.
4. The content complies with intellectual property and copyright laws.
5. They accept responsibility for any legal liability arising from their compositions and licenses.
6. They authorize Miusic to display, promote, and communicate their works within the platform.
Miusic may suspend, remove, or block content and/or seller accounts that violate these terms without obligation of refund.

7. BUYER RESPONSIBILITY
The buyer agrees that:
1. The AI demo is only an auditory reference and cannot be used commercially.
2. The use of the composition is limited to the type of license purchased.
3. They are responsible for registering the work with performing rights organizations, distributors, publishers, etc., respecting the agreed percentages (including the 30% publishing share in commercial licenses managed through Miusic).
4. They may not resell, sublicense, or transfer the work to third parties unless the license explicitly permits it.
5. They are not entitled to refunds once digital files have been delivered or downloaded.

8. INTELLECTUAL PROPERTY AND RIGHTS
• Before an Exclusive Buyout, the seller retains ownership of the composition’s copyright.
• After an Exclusive Buyout, the buyer receives the economic rights to the work as established in the license, without acquiring rights to the AI demo.
• AI content (demos, tools, generated voices) belongs to Miusic and/or its technology providers.
• Miusic may remove content from the platform when copyright infringement is suspected.

9. PROHIBITED CONTENT
It is prohibited to upload or distribute through Miusic:
• Samples, loops, stems, or elements without license or permission.
• Voices of real artists (cloned, imitated, or impersonated) without explicit authorization.
• Works derived from known songs without permission (unauthorized remakes, reworks, etc.).
• Illegal, defamatory, racist, discriminatory, violent content, or content that violates applicable laws.
• AI-generated works that infringe third-party rights or improperly use protected data.
Miusic may report, suspend, and remove infringing content and, in serious cases, cooperate with competent authorities.

10. NO REFUND POLICY
Due to the digital nature of the products offered:
• All sales made on Miusic are final.
• Refunds are not accepted for completed downloads, artistic dissatisfaction, license selection errors, incorrect file use, or incompatibility with user software or hardware.
• VIP subscriptions or similar plans are non-refundable once the current billing period has been charged.

11. PAYMENTS, SUBSCRIPTIONS, AND FEES
• Payments are processed through external providers (such as Stripe, PayPal, or other compatible services).
• Processing fees, currency conversion fees, or other payment-related costs may apply.
• VIP subscriptions or seller plans may automatically renew according to the user’s configured preferences.
• Users may cancel future subscription renewals, but already billed periods are non-refundable.
• Miusic may apply commissions or fees on transactions conducted through the platform, which will be indicated in the commercial terms of each plan or service.

12. LIMITATION OF LIABILITY
Miusic shall not be responsible for:
• Disputes, disagreements, or conflicts between buyers and sellers.
• Economic losses resulting from releases, campaigns, or projects based on compositions acquired on the platform.
• Indirect, incidental, special, punitive, or consequential damages.
• Failures, outages, or technical issues of external services (payment platforms, hosting, digital distributors, etc.).
Use of Miusic is at the user’s own responsibility and risk.

13. ACCOUNT SUSPENSION AND TERMINATION
Miusic reserves the right to:
• Temporarily suspend an account.
• Remove specific content.
• Permanently block a user’s access to the platform.
This may occur when:
• These Terms and Conditions are violated.
• Plagiarism, fraud, abuse, or illegal content is detected.
• Activities put other users, the platform, or third parties at risk.
Suspension or termination does not create any right to refunds of subscriptions or purchases already made.

14. BUYER FEES
To maintain marketplace operations and enable the automated Miusic system, all purchases made on the platform are subject to a fee charged to the buyer. This fee does not affect the creator’s payout and is automatically calculated at checkout.
Fee structure:
• 7% of the total price on purchases made within the Miusic Marketplace and/or direct purchases from a creator’s catalog.
This fee is final and non-refundable and will appear clearly during the checkout process before confirming the purchase. By completing a transaction on Miusic, the buyer acknowledges and accepts this fee.

15. MODIFICATION OF TERMS
Miusic may update or modify these Terms and Conditions at any time.
Changes will take effect once published on the platform.
It is the user’s responsibility to periodically review this page to stay informed.

16. GOVERNING LAW
These Terms and Conditions shall be interpreted and applied in accordance with the applicable laws of the jurisdiction where Miusic operates, without prejudice to international regulations regarding intellectual property and electronic commerce.
